We advise executives and shareholders on selling privately held businesses and divesting business units, operating divisions and non-core assets.
Our activities include preparing marketing materials (teasers, offering memoranda, financial models) and contacting, coordinating and negotiating with potential acquirers throughout the process. Importantly, we also advise in the post-closing period and successfully settle claims and adjustments.

We advise executives and shareholders on buying stand-alone businesses and “carving out” business units, operating divisions and other assets from operating companies and private equity firms.
Our activities include identifying potential targets, advising on valuation, analyzing synergies/incremental costs, managing the bidding and negotiating process, performing due diligence, and successfully executing post-closing integration activities.
CAPITAL RAISING &
We advise businesses on both equity and debt financing from early-stage growth investments to leveraged recapitalizations and buyouts. We also partner with management teams to analyze opportunities for working capital improvement and capital structure (equity versus debt levels and terms associated with each) optimization – aligning the capital structure to support (not hinder) strategic business objectives.
We advise management teams on a full suite of alternatives at critical junctures in their lifecycle. By taking a holistic view of the business, its stated goals, where it falls on the growth continuum, and its place in the competitive landscape, we are able to recommend a viable plan to re-align for growth, whether that be independently or through a strategic or financial partnership.
SUCCESSION / EXIT PLANNING
We advise management teams on successfully planning for succession or exit, depending on the circumstances and desired outcome(s). We partner with owners and executives to ensure that the proper steps are planned and executed well ahead of a transaction. We advise on transaction readiness from both subjective and objective perspectives: from management depth and breadth to proper controls, processes, and procedures to financial metrics and market forces.
